These Terms of Service (“Terms”) govern your use of joyplushtoy.com (the “Site”), operated by Dongguan JoyNest Toys Co., Ltd. (“JoyPlush Toy”, “we”, “us”). By using the Site you agree to these Terms.
1. About the Site
The Site is a business-to-business showcase of our custom plush toy manufacturing capabilities. Product listings, images and specifications are provided for reference only. Nothing on the Site constitutes a binding offer to sell. All orders are handled through direct inquiry, quotation and written confirmation between you and us.
2. Quotations and orders
Quotations we issue in response to inquiries are valid for the period stated in the quotation. Prices, minimum order quantities, sampling fees, lead times and shipping terms are confirmed per project in writing. A contract is formed only when we confirm your order in writing (for example by proforma invoice or sales contract), and the terms of that document prevail over these Terms in case of conflict.
3. Customer designs and intellectual property
When you submit artwork, designs, characters, logos or samples to us for OEM/ODM production, you represent and warrant that you own or are duly licensed to use all intellectual property rights in them, and you agree to indemnify us against third-party claims arising from designs you supply. We do not manufacture products that infringe third-party intellectual property rights.
All content on the Site — including text, photographs, illustrations and the JoyPlush Toy name and logo — is owned by us or our licensors and may not be reproduced without our prior written consent. Product designs shown are examples of manufacturing capability; any third-party rights remain with their respective owners.
4. Acceptable use
You agree not to misuse the Site, including by attempting unauthorized access, scraping at scale, transmitting malware, or submitting unlawful, infringing or deceptive content through our forms.
5. Disclaimers
The Site is provided “as is”. While we work to keep information accurate and up to date, we make no warranties that the Site is error-free or uninterrupted, and product colors or details may differ slightly from photographs. Certification references (such as EN71 or ASTM F963) describe the standards we manufacture to; applicable testing and certification scope for your order is confirmed per project.
6. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses arising from use of the Site. Liability relating to manufactured goods is governed by the written contract for the relevant order.
7. Privacy
Your use of the Site is also subject to our Privacy Policy.
8. Governing law
These Terms are governed by the laws of the People’s Republic of China. Disputes arising from these Terms that cannot be resolved amicably shall be submitted to the competent court at our place of registration, unless the written contract for an order provides otherwise.
9. Changes
We may update these Terms from time to time; the “Last updated” date shows the latest revision. Continued use of the Site after changes constitutes acceptance.
